Terms of service

PLEASE READ THESE TERMS OF SERVICE CAREFULLY.

 

By accessing or using the Services, you agree to be bound by these Terms of Service, including their Limitation of Liability (Section 10), and Dispute Resolution, Governing Law, and Class Action Waiver (Section 11). If you do not agree to be bound by these Terms of Service, you may not access or use our Services.

1. Definitions

 

- "Reperio Health," "we," "us," or "our" means Reperio Health, Inc.

 

- "Services" means the services made available by Reperio Health to end users, including ReperioKit and ReperioCare, as well as our websites and mobile applications that link to these Terms of Service (referred to as the "Online Services").

 

- "ReperioKit" means Reperio Health's at-home biometric screening kit that provides instant results using consumer-use medical devices, without clinician review.

 

- "ReperioCare" means the ReperioKit together with a single, on-demand virtual visit with a licensed clinician provided via telehealth.

 

- "User," "you," or "your" means an individual end user who accesses or uses the Services, whether through direct purchase or a sponsored program.

 

- "Sponsored User" means a User whose access to the Services is paid for or subsidized by a third party, such as an employer or health plan sponsor.

2. Eligibility

 

The Services are intended for individuals who are at least 18 years of age. By using the Services, you represent and warrant that you meet this eligibility requirement.

3. Overview of ReperioKit and ReperioCare

 

3.1 General

The Services are designed to support health awareness and access to care. The Services are not intended for use in medical emergencies. If you believe you are experiencing a medical emergency, call 911 or seek immediate medical attention.

 

Certain components of the screening kit are consumable medical supplies and are not required to be returned. Follow the instructions provided in the Reperio Health app for details on what is considered consumable.

 

If return of any non-consumable components is required and not completed within the specified timeframe, additional fees may apply to the User and/or their sponsoring organization.

 

3.2 ReperioKit (Applies to ReperioKit Only)

ReperioKit provides at-home biometric screening using consumer-use medical devices with instant results. No clinician reviews, interprets, or monitors your ReperioKit results.

 

Certain out-of-range values may be flagged automatically. If a critical value is detected, you may be prevented from completing the screening and advised to seek medical attention. Reperio Health does not provide emergency services and does not replace emergency medical care.

 

Results provided through ReperioKit are informational only and are not a diagnosis or medical advice.

 

3.3 ReperioCare (Applies to ReperioCare Only)

ReperioCare includes ReperioKit plus a single, on-demand virtual visit with a licensed clinician provided via telehealth.

 

During the ReperioCare visit, the clinician may:

– Review your screening results

– Provide education and guidance

– Diagnose conditions

– Prescribe medication, if clinically appropriate

– Make referrals, including referrals for additional laboratory testing

 

ReperioCare is episodic in nature, limited in scope, and does not establish an ongoing primary care provider relationship.

 

Use of ReperioCare is subject to a separate Telehealth Consent, which must be accepted prior to receiving telehealth services.

4. Not a Substitute for Primary or Emergency Care

 

The Services do not replace your relationship with a primary care provider or other healthcare professionals. You are responsible for following any post-visit instructions provided during ReperioCare, which may include seeking follow-up care with your primary care provider or another clinician.

5. User Responsibilities

 

You agree to provide accurate, current, and complete information when using the Services and to use the Services only for their intended purposes. You may only use the Services for lawful purposes in compliance with applicable laws. In your access or use of the Services, you agree not to: (i) infringe any copyright, patent, right of privacy, right of publicity, trademark, trade secret, or other right of Reperio Health or a third party; (ii) abuse, defame or harass any individual or other end user; (iii) interfere or attempt to interfere with or damage the Services, including by taking any action that will impose an unreasonable or disproportionately large load on our systems or networks; (iv) use any deep-link, page-scrape, robot, spider or other automatic device or program or equivalent manual process to acquire or copy the Services or any content on the Services; (v) transmit any information or software containing or comprised of a virus, trojan horse, worm or other harmful components; frame, repackage, or otherwise re-distribute any portion of the Services; (vi) subvert any authentication or access restrictions or controls; or (vii) attempt to reverse engineer, reverse assemble, reverse compile, or decompile any of the Services.

 

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify Reperio Health immediately of any unauthorized use of your account.

6. Data, Results, and Sharing

 

You will have access to your own results through our website, mobile application, and related platforms. Results are not withheld pending clinician review.

 

Sharing of your results with third parties, including your primary care provider or a sponsor, is governed by the End User Agreement (EUA), which is incorporated by reference.

 

Our collection, use, and disclosure of personal information are described in our Privacy Policy.

 

If you submit feedback, comments, suggestions, or other materials regarding the Services, you grant Reperio Health a perpetual, irrevocable, royalty-free, worldwide license to use such feedback for any purpose without compensation or attribution.

7. Payment, Fees, and Refunds

 

7.1 Direct-to-Consumer Purchases (Applies to ReperioKit Only)

ReperioKit purchases are non-refundable once shipped. If a kit is opened but unused, a shipping fee may be assessed.

 

7.2 Sponsored Users

If you are a Sponsored User, terms are determined by the sponsoring organization.

8. Intellectual Property

 

All content, software, devices, and materials associated with the Services are owned by Reperio Health or its licensors and are protected by copyright, trademark or other intellectual property laws.

 

Subject to your compliance with these Terms, Reperio Health grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal, non-commercial use.

9. Disclaimers

 

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW:

 

– WE DO NOT GUARANTEE THE ACCURACY, COMPLETENESS, OR RELIABILITY OF RESULTS.

– REPERIOKIT RESULTS ARE INFORMATIONAL ONLY UNLESS REVIEWED DURING A REPERIOCARE VISIT.

– WE ARE NOT RESPONSIBLE FOR DECISIONS YOU MAKE BASED SOLELY ON REPERIOKIT RESULTS.

 

REPERIO HEALTH DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

10. Limitation of Liability

 

TO THE MAXIMUM EXTENT PERMITTED BY LAW, REPERIO HEALTH SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICES.

 

TO THE EXTENT PERMITTED BY LAW, REPERIO HEALTH'S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) $100 OR (B) THE AMOUNT YOU PAID TO REPERIO HEALTH FOR THE APPLICABLE SERVICE.

 

YOU AGREE TO INDEMNIFY AND HOLD HARMLESS REPERIO HEALTH FROM ANY CLAIMS, DAMAGES, OR EXPENSES ARISING OUT OF YOUR USE OF THE SERVICES OR VIOLATION OF THESE TERMS.

11. Governing Law, Dispute Resolution, and Class Action Waiver

 

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles.

 

THE PARTIES WAIVE THE RIGHT TO TRIAL BY JURY OR TO PARTICIPATE IN A CLASS ACTION, MASS ACTION, GROUP ACTION, REPRESENTATIVE ACTION, AND/OR COLLECTIVE ACTION IN ANY DISPUTE. EACH PARTY MAY PROCEED AS TO ANY DISPUTE ONLY IN THAT PARTY'S INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS ACTION, MASS ACTION, GROUP ACTION, REPRESENTATIVE ACTION, AND/OR COLLECTIVE ACTION.

 

Information Resolution: Before any arbitration or other proceeding is initiated, the parties shall first use good faith efforts to resolve any dispute between them, including arising out of or relating to these Terms or the Services (a "Dispute"), directly through consultation and good faith negotiations. In the event such a dispute arises, you should contact us using the contact information below, and where reasonably possible, we will contact you using the contact information we have available. In the event we do not have reasonably available contact information, we will not be required to pursue informal resolution. The statute of limitations will be tolled while the parties engage in such good faith negotiations. Failure to complete such good faith negotiation is grounds for dismissal in any arbitration or other action, and the party initiating such an action will be required to pay any reasonable costs and attorneys fees of the other party.

 

Arbitration: In the event that the parties cannot resolve a dispute through the informal resolution process described above, any action must be brought on an individual basis and will be resolved exclusively by final and binding arbitration ("Arbitration") before an arbitrator mutually selected by the parties (the "Arbitrator"). The Parties intend the Federal Arbitration Act to apply to ensure enforcement of these dispute resolution terms. The Arbitration shall be administered pursuant to JAMS' Streamlined Arbitration Rules and Procedures or other comparable rules to which the parties agree. The selection of JAMS rules does not mean that JAMS will administer the Arbitration or appoint the Arbitrator. Your agreement to these dispute resolution terms is material to our offering the Services.

12. Changes to These Terms

 

We may update these Terms from time to time. Continued use of the Services after changes become effective constitutes acceptance of the updated Terms.

 

We may modify, suspend, or discontinue all or part of the Services at any time without notice.

14. Miscellaneous

 

These Terms constitute the entire agreement between you and Reperio Health regarding the Services and supersede all prior agreements.

 

If any provision of these Terms is held to be unenforceable, the remaining provisions will remain in full force and effect.

 

The failure of Reperio Health to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
